SALES POLICY – ENERKEIT SOLUTIONS S.A.P.I. DE C.V.

1. Prices Subject to Change Without Notice

Quoted prices may vary due to changes in material costs, freight, exchange rates, or market conditions. Should an update be required, Enerkeit Solutions S.A.P.I. de C.V. will notify the client prior to the issuance of the final purchase order, in accordance with the principles of commercial transparency set forth in Articles 75 and 76 of the Mexican Commercial Code.

2. Delivery or Pickup Location

All operations and shipments are handled from Cuernavaca, Morelos. Clients may choose between: direct pickup at our facilities, or shipping via the courier or carrier of their choice. Delivery is considered complete once the product has been handed over to the designated carrier or courier service. (Pursuant to Article 371 of the Mexican Commercial Code regarding the delivery of goods.)

3. Prices in Mexican Pesos (MXN) — VAT Not Included

All prices are quoted in Mexican pesos (MXN) and do not include Value Added Tax (VAT).

A 16% VAT will be calculated and applied at the time of invoice issuance, in accordance with Articles 1 and 1-A of the Mexican VAT Law (LIVA) and Articles 29 and 29-A of the Federal Tax Code (CFF).

4. Purchase Order and Manufacturing Terms

Once a purchase order has been placed and production has been authorized, no cancellations, modifications, or returns will be accepted. This is due to the fact that all products are manufactured to custom specifications, in accordance with Article 2110 of the Federal Civil Code.

5. Payment Terms

Unless otherwise agreed in writing, all transactions are cash-in-advance. Full payment must be received prior to shipment or delivery of the product. Failure to meet agreed payment deadlines may result in the suspension of future deliveries or credit terms, pursuant to Articles 78 and 79 of the Mexican Commercial Code.

6. Quote Validity

All quotations are valid for 10 calendar days from the date of issuance. After this period, the client must request an updated quote reflecting current pricing and lead times. (Based on Article 80 of the Mexican Commercial Code.)

7. Shipping Terms

Products are shipped via the courier or carrier selected by the client, with freight charges collect. Enerkeit recommends Paquete Express for its nationwide coverage and reliability. Enerkeit is not responsible for delays, damage, or losses incurred during transit by third-party carriers, pursuant to Article 383 of the Mexican Commercial Code.

8. Lead Times

Lead times begin upon receipt of the client-approved drawing, duly reviewed and signed.

Approval drawings will only be sent once the corresponding deposit or full payment has been received, in accordance with the agreed commercial terms. If no deposit has been received, drawings will not be issued and production will not be released. Once the signed drawing is received, Enerkeit Solutions S.A.P.I. de C.V. will confirm the official delivery date in writing.

Delivery timelines are estimates and may vary due to factors beyond our control, including material availability, shipping delays, supplier performance, or force majeure events.

9. Discounts or Rush Orders

10. Credit Application Policy and Requirements

In order to maintain transparent and secure commercial relationships, Enerkeit requires the following documentation to evaluate credit applications:

I. Legal Company Documentation

  • Articles of incorporation and bylaws, registered with the Public Commercial Registry. (Articles 6 and 19 of the Mexican Commercial Code; Articles 5 and 6 of the General Law of Commercial Companies.)
  • Current notarial powers of attorney for legal representatives. (Articles 2554 and 2556 of the Federal Civil Code.)
  • Official government-issued ID for all legal representatives.

II. Financial and Credit Information

  • Financial statements for the past 2–3 months, signed by the legal representative or responsible accountant. (Articles 33 and 34 of the Mexican Commercial Code.)
  • Bank statements for the past 3–6 months.
  • Business credit report or credit history, in accordance with the Law Regulating Credit Reporting Companies.

III. Commercial Information

  • Purchase history: minimum of five transactions of MXN $45,000.00 each.
  • Commercial and banking references: minimum of three.
  • Company profile (CV) including experience, years in operation, and main business activities.

IV. Required Formal Letters

  • Credit application letter on company letterhead, signed by the legal representative, specifying the requested amount and purchase order reference.
  • Payment commitment letter on company letterhead, signed by the legal representative, stating the client's agreement to settle all outstanding balances within 15 calendar days of invoice issuance. (Articles 75, 78, and 79 of the Mexican Commercial Code.)

Final Considerations

Enerkeit reserves the right to approve, modify, or reject credit applications based on financial analysis and payment history.

All information provided will be handled with strict confidentiality, in compliance with the Federal Law on Protection of Personal Data Held by Private Parties.

Upon completion of the granted credit period, Enerkeit will notify the client of the exact payment due date, which will depend on the approved credit term and the conditions established in the payment commitment letter or commercial agreement.
